Terms of Service & End User License Agreement (EULA)

Effective Date: October 2026

Welcome to NTCL Soft. By downloading, installing, or using any software applications (collectively, the “Apps”) provided by NTCL Soft via our website or the Autodesk App Store, you agree to be bound by these Terms of Service and this End User License Agreement (EULA).

1. License Grant

NTCL Soft grants you a non-exclusive, non-transferable, limited license to use the Apps strictly in accordance with these Terms.

• Free/Trial Apps: Provided for evaluation purposes only. For specific Translation Tools (e.g., NTrans), trial usage is subject to the data contribution terms outlined in Section 10 below. 

• Paid Apps: Licensed per user or per machine as specified at the time of purchase.

This license grants usage rights only and does not transfer ownership of the Apps.

2. Autodesk App Store EULA

For Apps obtained via the Autodesk App Store, the standard Autodesk App Store EULA applies.

However, the Supplementary Terms in Section 3 below shall prevail in the event of any conflict relating to NTCL Soft-specific licensing mechanisms.

3. Supplementary Licensing Terms (NTCL Soft Specific)

3.1 Offline License

Offline licenses are hardware-dependent and valid only for one specific physical computer (desktop or laptop).

3.2 Virtual Machines (VM)

The Apps are designed for physical hardware. NTCL Soft does not guarantee compatibility with Virtual Machines and reserves the right to limit or disable functionality if the Apps are executed in such environments.  Virtual machine is not accepted as a valid physical computer. NTCL Soft reserves the right to use hardware-based identifiers to enforce this restriction.

3.3 Replacement License

If your physical computer is damaged or replaced, NTCL Soft may, at its sole discretion, provide one (1) replacement license.

Conditions:

• Request must be submitted at least two (2) months after the original purchase

• Request must be sent from the registered email address

NTCL Soft reserves the right to deny requests in cases of suspected abuse or suspicious activity.

4. Professional Responsibility (Important for CAD Users)

The Apps are technical tools intended to assist professionals.

• Final Verification: You are solely responsible for verifying the accuracy and suitability of all outputs.

• Validation: All generated data (e.g., drawings, calculations, schedules) must be reviewed against professional standards before real-world use.

5. No Warranty

The Apps are provided “as is” and “as available”, without any warranties of any kind, express or implied, including but not limited to:

• Fitness for a particular purpose

• Non-infringement

• Accuracy or reliability of results

6. Limitation of Liability

To the maximum extent permitted by law, NTCL Soft (and its developer) shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits, revenue, or data

• Engineering or design errors

• Project delays or construction costs

Total liability for any claim shall not exceed the amount actually paid for the relevant App license.

7. Refund Policy

7.1 Trial First

A trial version is provided to evaluate the Apps before purchase.

7.2 Final Sale

Due to the nature of digital license delivery (e.g., license files or activation keys), all sales are final once a license has been issued.

7.3 Exception (Technical Failure)

Refunds may be granted only if:

• A critical technical defect prevents the App from functioning substantially as described, and

• NTCL Soft is unable to resolve the issue within 14 days of support

7.4 Non-Refundable Cases

Refunds will not be granted for:

• User error

• Misunderstanding of features

• Incompatibility with unsupported environments (e.g., Virtual Machines)

• Change of mind

8. Software Updates and Support 

8.1 Perpetual License

A perpetual license grants the right to use the purchased version of the App indefinitely on compatible platforms at the time of purchase. 

8.2 Free Updates Period

Includes free updates for thirty six (36) months from purchase. After this period, the App continues to function normally, but newer versions may require a paid upgrade. 

8.3 Support Period

 Technical support is provided for twelve (12) months. Includes installation and bug troubleshooting. Does not include custom feature requests or consulting.

9. Restrictions

You agree not to:

• Decompile, reverse engineer, or attempt to extract source code

• Circumvent or bypass licensing mechanisms

• Rent, sublicense, or resell the Apps for commercial profit, or distribute them in any manner not explicitly authorized by NTCL Soft or the distribution platform (e.g., Autodesk App Store's Multi-seat license system).

• Use the Apps in violation of any applicable laws or regulations

10. Translation Data & Terminology Rights (Trial Versions)

If you use a Free or Trial version of NTCL Soft’s Translation Tools with the data sharing option enabled:

• Grant of Data License: You grant NTCL Soft a perpetual, worldwide, non-exclusive, royalty-free, and sublicensable license to collect, edit, adapt, compile, aggregate, and incorporate any anonymized Translation Memory (TM) and Term base (glossary) entries submitted through the App into NTCL Soft's core translation databases and software updates.

• Ownership of Compiled Dictionaries: While you retain rights to your original proprietary data, NTCL Soft retains full ownership of all aggregated datasets, compiled glossaries, and system dictionaries created or enhanced using such contributed data.

• Commercial Version Isolation: Commercial Paid Licenses do not require or enforce translation data contributions, and operate with zero automated terminology sharing.

• Opt-Out & Feature Limitations: Users may disable data sharing within the App's settings at any time. However, disabling this option in a Free/Trial version may restrict access to certain advanced features or limit translation processing capabilities.

11. Termination

NTCL Soft reserves the right to suspend or terminate your license without refund if you violate these Terms, including but not limited to unauthorized distribution or license circumvention.

12. Payment and Invoicing

NTCL Soft is operated by an independent software developer. Payments and invoicing depend on the purchase channel:

• Autodesk Design and Make Marketplace (formerly Autodesk App Store): 

Transactions on the Autodesk App Store are processed directly through PayPal to NTCL Soft. Payment receipts are issued through PayPal upon completion. Neither Autodesk nor NTCL Soft issues official local VAT invoices for store purchases. 

• Purchases via Lemon Squeezy: 

For products sold through Lemon Squeezy (Merchant of Record), official tax invoices, receipts, and VAT compliance are automatically handled and issued by Lemon Squeezy.

• Direct Payments (PayPal / Other Methods): 

For direct payments processed outside Lemon Squeezy, NTCL Soft does not issue official VAT invoices. A standard payment receipt can be provided upon request.

13. Changes to Terms

NTCL Soft reserves the right to update or modify these Terms at any time. Continued use of the Apps after such changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam.
